Terms of Service

1. Agreement

By installing the AgentMeter GitHub App, using the AgentMeter GitHub Action, or accessing the AgentMeter dashboard at agentmeter.app, you agree to these Terms of Service. If you are using AgentMeter on behalf of an organization, you represent that you have the authority to bind that organization to these terms. These Terms are between you and Hensonism LLC, DBA Foo ("we," "us," "our").

2. The Service

AgentMeter is a cost-tracking and observability service for AI coding agent runs in GitHub Actions. It consists of:

  • A GitHub Action that collects run metadata and submits it to the AgentMeter API
  • A GitHub App that provides OAuth authentication and webhook event processing
  • A web dashboard at agentmeter.app for viewing run history, costs, and trends

3. Acceptable Use

You agree not to:

  • Submit run data to the AgentMeter ingest API for repositories you do not own or have permission to monitor
  • Abuse the ingest API (excessive requests, automated flooding)
  • Attempt to access another user's data
  • Reverse-engineer, decompile, or attempt to extract the source code of the service
  • Use the service for any illegal purpose

We reserve the right to suspend or terminate accounts that violate these terms.

4. Free and Pro Plans

AgentMeter is offered in two tiers:

  • Free: 1 repository, 30-day data retention, runs feed, run detail, PR/issue cost comments, Claude and OpenAI support. No payment required.
  • Pro ($19/month per org): Unlimited repositories, 90-day data retention, trends dashboard, budget alerts, all AI engines, CSV export, and unlimited team members.

We reserve the right to change pricing with 30 days' notice to existing customers. Free plan features may change at our discretion.

5. Billing and Payments

Pro plan billing is handled by Stripe. By subscribing to Pro, you authorize Stripe to charge your payment method on a recurring monthly basis. Stripe's Privacy Policy and Terms of Service apply to payment processing. You may cancel at any time from your account settings. Pro features remain active until the end of the current billing period after cancellation. We do not issue refunds for partial months.

6. Data Retention and Deletion

Run data is retained for 30 days (Free) or 90 days (Pro) from the run date. Older data is permanently deleted. See our Privacy Policy for full details on data handling and deletion.

7. Analytics

We use PostHog for product analytics to understand how the service is used and improve it. PostHog collects anonymized usage data such as page views and feature interactions. See our Privacy Policy for details.

8. Service Availability

We strive for high availability but do not guarantee uninterrupted service. The AgentMeter GitHub Action is designed to fail silently — it will never cause your workflow to fail if the AgentMeter API is unreachable. We do not provide a Service Level Agreement (SLA) for the Free plan. Pro plan targets 99.5% monthly uptime for the dashboard and ingest API.

9. Intellectual Property

AgentMeter and its branding are owned by Hensonism LLC, DBA Foo. The GitHub Action is open source (MIT license); see the repository for its license. Your run data belongs to you. We claim no ownership over any data you submit.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT COST CALCULATIONS ARE PERFECTLY ACCURATE — THEY ARE DERIVED FROM PUBLISHED MODEL PRICING AND MAY NOT REFLECT ALL DISCOUNTS OR PRICING CHANGES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOO.SOFTWARE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF AGENTMETER. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

13. Changes to These Terms

We may update these Terms. Material changes will be communicated via a dashboard notification or email at least 14 days before taking effect. Continued use of the service after changes take effect constitutes your acceptance of the revised Terms.
